End User License Agreement

1. Definitions

• "Software" means any commercial software application, tool, or program developed and distributed by Horizon Analytic Studios, LLC.
• "License" means the right to use the Software as granted under this EULA.
• "Licensee" or "You" means the individual or entity that has acquired a License to use the Software.
• "License Key" means the unique code provided to activate and validate your License.
• "Licensor" or "We" means Horizon Analytic Studios, LLC.

2. Grant of License

Subject to the terms of this EULA and payment of applicable fees, Horizon Analytic Studios, LLC grants you a limited, non-exclusive, non-transferable license to:

• Install and use the Software on the number of devices specified in your purchase
• Use the Software for personal or commercial purposes in accordance with your license type
• Make one backup copy of the Software for archival purposes

License Types:

• Per-User License: Permits one named user to install and use the Software on up to two devices owned or controlled by that user.
• Per-Device License: Permits installation and use on a single designated device, regardless of how many users access that device.
• Site License: Permits unlimited installations within a single physical location or organization, as specified in your purchase agreement.

3. License Restrictions

You may not:

• Copy, modify, or distribute the Software except as expressly permitted by this EULA
• Sell, sublicense, rent, lease, or lend the Software to third parties
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except to the extent expressly permitted by applicable law
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices
• Circumvent, disable, or interfere with any license verification, copy protection, or security features
• Use the Software to develop a competing product or service
• Exceed the scope of your License (e.g., exceeding device or user limits)
• Share, publish, or disclose your License Key to unauthorized parties

4. Intellectual Property

The Software and all copies thereof are proprietary to Horizon Analytic Studios, LLC and title thereto remains in us. All rights in the Software not specifically granted in this EULA are reserved to us.

The Software is protected by copyright laws and international treaty provisions. You acknowledge that the Software contains trade secrets and confidential information belonging to Horizon Analytic Studios, LLC.

This EULA does not grant you any rights to trademarks or service marks of Horizon Analytic Studios, LLC.

5. License Activation

Some Software may require activation using a License Key. Activation associates your License with specific devices or user accounts.

• Activation Limits: Your License Key may only be activated on the number of devices permitted by your license type.
• Deactivation: You may deactivate a License from one device to transfer it to another, subject to the processes described in the Software documentation.
• Verification: The Software may periodically verify your License status by connecting to our servers. An active internet connection may be required for verification.

6. Updates and Support

Updates: Your License may include access to updates (bug fixes, security patches, and minor version updates) for a specified period. Major version upgrades may require a separate purchase or upgrade fee.

Support: Technical support is provided according to the terms of your purchase. Support may include email assistance, documentation access, and community forums.

We reserve the right to modify the scope of updates and support included with different license tiers. Current terms are described on the product purchase page.

7. Third-Party Components

The Software may include third-party open-source components, which are subject to their respective license terms. A list of third-party components and their licenses is available in the Software documentation or NOTICE file included with the Software distribution.

Your use of third-party components is governed by their respective licenses, which may grant you additional rights or impose additional restrictions beyond this EULA.

8. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. HORIZON ANALYTIC STUDIOS, LLC DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, OR BE ERROR-FREE.

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you. In such jurisdictions, our liability is limited to the extent permitted by law.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HORIZON ANALYTIC STUDIOS, LLC OR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SOFTWARE.

Liability Cap: In no event shall our total liability to you for all claims arising out of or related to this EULA exceed the amounts paid by you for the Software in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitations may not apply to you.

10. Termination

Termination by You: You may terminate this EULA at any time by uninstalling the Software and destroying all copies in your possession.

Termination by Us: This EULA will terminate automatically if you fail to comply with any of its terms. We may also terminate your License if we determine, in our sole discretion, that you have violated this EULA.

Effect of Termination: Upon termination:

• All rights granted to you under this EULA immediately cease
• You must immediately cease all use of the Software
• You must uninstall the Software and destroy all copies in your possession
• Sections 4 (Intellectual Property), 8 (Warranty Disclaimer), 9 (Limitation of Liability), and 11 (Governing Law) survive termination

11. Governing Law and Dispute Resolution

This EULA shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

Any disputes arising from or related to this EULA shall be resolved exclusively in the state or federal courts located in Texas, and you consent to the personal jurisdiction of such courts.

Small Claims Exception: Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within the jurisdictional limits of such court.

12. General Provisions

Entire Agreement: This EULA constitutes the entire agreement between you and Horizon Analytic Studios, LLC regarding the Software and supersedes all prior agreements and understandings, whether written or oral.

Severability: If any provision of this EULA is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this EULA shall otherwise remain in full force and effect.

Waiver: The failure of Horizon Analytic Studios, LLC to exercise or enforce any right or provision of this EULA shall not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer this EULA or your rights hereunder without our prior written consent. We may assign this EULA without restriction.

Export Compliance: You agree to comply with all applicable export control laws and regulations in your use of the Software.
